These terms are the contract between Archade Design Solutions di Carlo Maria Crespi Perellino, Via Santo Stefano 23, 40125 Bologna (BO), Italy, VAT no. 04249951205, REA BO 580050, email studio@archadedesign.com<\/a>, certified email (PEC) archadedesignsolutions@pec.it<\/a>, telephone +39 351 499 9599 (\u201cArchade\u201d, \u201cwe\u201d) and the business or professional who creates an account on Archade Media Manager (\u201cCustomer\u201d, \u201cyou\u201d). By creating the account you accept them together with the Subscription terms<\/a>, theprivacy notice<\/a> and theData Processing Agreement<\/a>. We keep the date and version of the terms you accepted.<\/p>\n\n\n\n Archade Media Manager is an online service for preparing, scheduling and publishing content on the social profiles you connect (Instagram, Facebook, LinkedIn, Pinterest, YouTube) and reading its results, with an Adviser that makes suggestions.<\/p>\n\n\n\n The service is in beta: it is under development, features may change, be suspended or removed, and there may be interruptions for maintenance or because of changes to the connected platforms. We will tell you about significant changes.<\/p>\n\n\n\n The service is reserved for businesses and professionals who use it for their own business, commercial, craft or professional activity and hold a VAT number or an equivalent number in another country. It is not offered to consumers.<\/p>\n\n\n\n By creating the account you declare that you are acting for professional purposes, that the details provided (including the VAT number) are true and that you are at least 18 years old. If you create the account for a business you declare that you have the authority to represent it and bind it to these terms. If the declaration is not true we may close the account and you are liable for the consequences.<\/p>\n\n\n\n Since the service is reserved for professionals, the provisions of the Italian Consumer Code dedicated to consumers do not apply, except those that the law makes mandatory in any case.<\/p>\n\n\n\n You are responsible for keeping your credentials confidential, for the people you invite to your profile and for everything done with your account. Use strong passwords and, when available, two-step verification. If you think someone has used your account without permission let us know immediately, and in any case within 24 hours, at studio@archadedesign.com<\/a>.<\/p>\n\n\n\n You only connect accounts, pages and properties for which you have the necessary rights, or for which you have the owner\u2019s written permission. The connection uses each platform\u2019s official login and you can revoke it at any time, from the app or from the platform\u2019s settings.<\/p>\n\n\n\n By connecting a profile you authorise us to publish on your behalf, and only at the time you choose, the content you schedule. We do not publish anything you have not scheduled.<\/p>\n\n\n\n When using the service you comply with the terms and rules of the connected platforms. If you connect a YouTube channel, you use the YouTube API Services and accept the YouTube Terms of Service<\/a>; your data is also covered by the Google Privacy Policy<\/a>.<\/p>\n\n\n\n You are the owner of, and solely responsible for, the content you upload, write, schedule and publish through the service (texts, images, videos, music, links, trademarks, people portrayed). You guarantee that you have all the necessary rights, licences and releases, that advertising is recognisable as such and that the content complies with the law and the platforms\u2019 rules.<\/p>\n\n\n\n You grant us, only for as long as necessary, a free and non-exclusive licence to store, process, convert into the required formats and transmit your content to the platforms and to show it to you and your team: only to provide the service to you, not for other uses.<\/p>\n\n\n\n Unlawful content or content that infringes third-party rights is not allowed in the service; in particular defamatory or discriminatory content or content inciting hatred or violence, child sexual abuse material, terrorist content, malicious software, spam, fake reviews, unfair commercial practices, infringements of copyright, trademarks or confidentiality, and content prohibited by the connected platforms.<\/p>\n\n\n\n We do not check content in advance. If we receive a well-founded report or an order from an authority, or if a piece of content clearly breaches these terms, we may block a scheduled publication, remove the content from the service or restrict the account. We will tell you the decision with the reasons and you can reply to ask for it to be reviewed. Reports are made as described on the page Reports and contacts<\/a>.<\/p>\n\n\n\n You may not:<\/p>\n\n\n\n The service depends on the interfaces of Google, Meta, LinkedIn, Pinterest, YouTube, Mailchimp and other providers. If a platform changes its rules, limits or revokes access, loses data or does not respond, some features may be unavailable or have to change. We are not liable for the decisions and outages of these platforms; we will let you know and look for alternatives. Instagram, Facebook, YouTube, LinkedIn, Pinterest, Google and Mailchimp are trademarks of their respective owners: the service is not affiliated with, sponsored or endorsed by them.<\/p>\n\n\n\n We do our best to publish each piece of content at the chosen time, but publishing depends on the platforms, which may delay it, reject it or change its format. The outcome of each publication is shown in the app: always check important content. We are not liable for damage caused by a publication that is missed, delayed or different from what was expected when this depends on the platforms, on content that does not comply with their rules or on data entered by you.<\/p>\n\n\n\n The Adviser uses automatic rules and, for open-ended questions, an artificial intelligence system (Anthropic\u2019s Claude model). The app always shows when an answer is generated by artificial intelligence. The Adviser\u2019s suggestions are general, are not professional advice (tailored legal, tax, financial or marketing advice), may contain errors and must be checked before use. The decisions remain yours. Do not include unnecessary personal data or special categories of data in your questions.<\/p>\n\n\n\n The beta is free until 9 October 2027. During the beta the service is provided as is and to the extent it is available: it may contain errors, change or stop, and data may be lost. Always keep a copy of your important content and data.<\/p>\n\n\n\n We may close the beta or the service with at least 30 days\u2019 notice by email, except for urgent reasons or reasons imposed by the platforms or by law, giving you time to export your data. After the beta, if you want to continue, you will choose a paid plan under the Subscription terms<\/a>: no charge is made without your explicit consent.<\/p>\n\n\n\n The data you upload or that the service collects for you remains yours. We process it only to provide the service to you, as described in theprivacy notice<\/a> and, for personal data for which you are the controller, in theData Processing Agreement<\/a>. We may use technical and statistical information in aggregated and anonymous form, which does not identify you or your accounts, to run and improve the service, always within the limits of the platforms\u2019 rules. Each party keeps the other party\u2019s non-public information confidential.<\/p>\n\n\n\n The software (source code and executable code), architecture, databases, interfaces, graphics, texts, documentation, and the names and logos Archade, Archade Media Manager and the other Archade products belong to Archade Design Solutions or its licensors and are protected by copyright, trademark and distinctive sign laws.<\/p>\n\n\n\n We grant you a limited, non-exclusive, non-transferable and non-sublicensable right of use, for the duration of the account and for your business and that of the clients you manage with the service. You receive no other right: everything not expressly granted remains reserved to Archade. If you send us suggestions or ideas about the service we may use them freely, with no obligation towards you.<\/p>\n\n\n\n We provide the service with the required professional diligence, but we do not guarantee commercial results (sales, followers, ranking, visibility) or that the service will always be free of interruptions or errors.<\/p>\n\n\n\n To the extent permitted by article 1229 of the Italian Civil Code we are not liable for indirect or consequential damage, loss of profits, loss of opportunity or goodwill, loss of data you have not kept a copy of, or damage caused by third-party platforms or force majeure. Our total liability for all damage related to the contract is limited to what you paid us in the 12 months before the event. During the free beta we are liable only for wilful misconduct or gross negligence. These limitations never apply in the case of wilful misconduct or gross negligence.<\/p>\n\n\n\n You hold Archade harmless from claims, penalties, damages and costs, including reasonable legal fees, brought by third parties (platforms, authorities, rights holders, people portrayed or mentioned) because of your content, the use of the service in breach of these terms or of the law, or accounts connected without having the rights to them.<\/p>\n\n\n\n You can close your account whenever you want, from the app or by writing to us. We may suspend or restrict the account, even without notice when urgent, in the event of a serious breach of these terms, security risks, a request from a platform or an authority or non-payment; we will tell you the reasons. We may also withdraw from the contract with 30 days\u2019 notice by email. After closure you have 30 days to ask us to export your data; then we delete it as described in the privacy notice.<\/p>\n\n\n\n We are not liable for delays or failures due to events beyond our reasonable control, such as failures of networks or cloud service providers, cyber attacks, outages of the connected platforms, measures by the authorities, natural disasters.<\/p>\n\n\n\n You may not assign the contract without our written consent. Archade may assign the contract, including together with the business or a branch of it, to a company that it controls, to which it contributes the business or that acquires it: by accepting these terms you give your consent now (article 1407 of the Italian Civil Code). We will notify you of the assignment by email.<\/p>\n\n\n\n We may update these terms. We will notify you of significant changes by email at least 30 days in advance: if you do not accept them you can close your account before they take effect. Changes required by law, by an authority or by the platforms\u2019 rules may apply earlier, with notice as soon as possible.<\/p>\n\n\n\n Communications about the contract are sent to the account email. You can write to us at studio@archadedesign.com<\/a> or, for formal communications, to the certified email (PEC) address archadedesignsolutions@pec.it<\/a>.<\/p>\n\n\n\n The contract is governed by Italian law. The court of Bologna has exclusive jurisdiction over any dispute.<\/p>\n\n\n\n These terms, the Subscription terms, the privacy notice and the Data Processing Agreement are the entire agreement between the parties on the service. If a clause turns out to be invalid, the others remain valid. Clauses that by their nature must survive the end of the contract (intellectual property, liability, indemnity, confidentiality, governing law and jurisdiction) remain valid afterwards too.
